We refer to the discussions between Tackling Wealth Pty Ltd ATF Tackling Wealth Discretionary Trust Trading as Lifecorp Group (Lifecorp, we, us, or our) and the wholesale/sophisticated investor (you or your) relating to the provision of the purchase of intellectual property for Oasis Hervey Bay Stage 1 Unit Trust services by us to you (Proposed Agreement).

For you to determine whether you can purchase the intellectual property for Oasis Hervey Bay Stage 1 through a unit trust from us, you wish to obtain certain information. The following is an agreement made in consideration of us agreeing to disclose certain information to you.

Using Confidential Information

The definitions of Confidential Information and Information are included within schedule 1 to this agreement.

You must, and you must ensure that your employees, agents and representatives:

• hold the Confidential Information in confidence, safeguarding it with all reasonable security precautions;
• not disclose Confidential Information to a third party;
• use Confidential Information only to evaluate whether to enter into the Proposed Agreement; and
• not copy Confidential Information without our written consent.

At our request, you must:

• immediately return the Confidential Information, and any copies you have made, to us; and
• no longer use or disclose Confidential Information (or any copies).

All documents and other materials provided by us to you containing Confidential Information, and all copies made will at all times be our property.

If you decide not to enter into the Proposed Agreement, or, at our request, you will return all Confidential Information in your possession to us.

Obligations under this agreement

The obligations imposed under this agreement will continue until such time as (in relation to individual items of Confidential Information):

(a) the Confidential Information is generally available in the public domain (other than as a result of a breach of this agreement);

(b) the Confidential Information is already in your possession without restriction and prior to any disclosures under this agreement;

(c) the Confidential Information is, or has been, lawfully disclosed to you by a third party, not employed by or otherwise affiliated with you, who is free lawfully to disclose it; or

(d) the Confidential Information is independently developed by you and no Confidential Information has been used directly or indirectly in that development.

You agree to indemnify us, and keep us indemnified, from and against any and all loss, costs, expenses or damage which we may incur as a result of any breach or omission by you of your obligations contained within this agreement.

Conditions upon termination

This agreement will continue in force until the date on which you notify us that you no longer wish to receive Confidential Information and intend to terminate.

Following the obligations set out in this agreement will continue in relation to Confidential Information disclosed prior to such date.

Miscellaneous provisions

No modifications to this agreement will be effective unless expressed in writing and signed by the you and us.

This agreement takes effect, is governed by, and will be construed in accordance with the laws from time to time in force in Queensland, Australia.

You and we each submit to the non-exclusive jurisdiction of the courts of Queensland.

This agreement may be executed in any number of counterparts all of which, when taken together, will constitute one and the same instrument.

You acknowledge and agree to these terms by checking the box on the electronic form and the confirmation will be stored on the Lifecorp database.

SCHEDULE 1 Definitions

(a) In this agreement Confidential Information means information:

  (i) disclosed by us to you (whether indirectly or directly); and

  (ii) obtained by you from us.

(b) The information includes information in written, electronic, oral or other form, in connection with the proposed agreement, or our business, or otherwise. This includes the business of any related body corporate (as defined in section 50 of the Corporations Act 2001 (Cth)).

(c) The meaning of Information includes, but is not be limited to, any or all of the following information regardless of the form in which, or the method by which, it is held:

  (i) information relating to the date or materials concerning any of our services or products (whether the service or product is an existing one, is proposed or will exist in the future);

  (ii) product specifications, processes, procedures, policies;

  (iii) prices, rates, terms of loan acceptance, discounts, costs;

  (iv) our business affairs;

  (v) our future plans, ideas and technical data;

  (vi) designs, drawings, specifications, graphics, images or pictures;

  (vii) marketing, sales and other such records;

  (viii) plans or data relating to our sales and marketing or business activities;

  (ix) sales, marketing or business promotional material which is not released or available to the public;

  (x) lists of existing and potential customers or contacts;

  (xi) our methods of doing business;

  (xii) accounting, financial or business information or records;

  (xiii) pricing or costs information which is not released or available to the public; or

  (xiv) details concerning our potential or current customers.

(d) The meaning of Confidential Information excludes Information which:

  (i) was already known to you;

  (ii) was already public knowledge;

  (iii) subsequently becomes public knowledge without fault on your part; or

  (iv) is subsequently received by you from a third party who can lawfully disclose it to you without imposing confidentiality obligations.
